Welcome to SocialJunction.com, a service that puts People and Venues in touch with one another in an interactive online community. SocialJunction.com (“SocialJunction" or the "Website") is operated by Social Sites Unlimited, LLC. and its corporate affiliates (collectively, "Us", "We" or the “Company"). All associated services, features, apllications, and content (collectively, “Services”) are subject to the same rules set forth in these Terms of Use ("Terms of Use" or "Agreement"). By using the Website or its Services, you (the "User") signify that you have read, understand and agree to be bound by this Agreement whether or not you register as a member of SocialJunction.

We reserve the right, at our sole discretion, to change, modify, add, or delete portions of the Agreement from time to time without further notice. Such modifications will be effective upon posting the changes to this page and your continued use of the Website and its Services after any such changes constitutes your acceptance of the new Terms of Use. If you do not agree to abide by these or any future Terms of Use, do not use or access the Website or its Services. It is important that you review this Agreement regularly to ensure that you are up to date on any changes.

The Company reserves the right to terminate your membership, delete your profile and/or any content or information that you have posted or received, including personal messages, on the Website and/or prohibit you from using or accessing the Website or its Services for any or no reason, at any time in its sole discretion, with or without notice, and without liability.

Eligibility

Use of and Membership in SocialJunction and its Services is void where prohibited. This Website is intended solely for Users who are eighteen (18) years of age or older (21 years where 18 is not the age of majority), and any registration by, use of, or access to the Website or its Services by anyone under 18 is unauthorized and in violation of these Terms of Use. By using the Website or any of its Services, you represent and warrant that:

You are 18 or older (21 years where 18 is not the age of majority).
That you will not permit any person(s) under 18 (21 years where 18 is not the age of majority) to have access to any of the materials contained within this Website.
All registration information you submit is truthful and accurate.
Your use of SocialJunction does not violate any applicable laws or regulations.
You agree to and abide by all of the terms and conditions of this Agreement.

SocialJunction may delete your profile and terminate your Membership at any time without warning if We feel that you are under 18.

Term

This Agreement will remain in full force and effect while you use the Website and its Services and/or are a Member. You may terminate your Membership at any time, for any reason, by following the instructions on the “How to Delete my Profile” section of the Help file. SocialJunction may delete your profile and terminate your Membership at any time without warning. Even after your Membership is terminated, this Agreement will remain in effect.

Account Security

During registration to become a member, you will be assigned a password to access your profile settings. You are responsible for maintaining the confidentiality of this password and agree not to disclose this password to any third party. You also agree not to use the account, username, or password of any other Member. SocialJunction will not be liable for any loss or damage arising from your failure to comply with this provision. Furthermore, you should use caution when using public or shared computers to avoid others viewing or capturing your password or personal information.

Non-commercial Use by Members

The Website and its Services are for the personal use of Members only and may not be used in connection with any commercial endeavors except those that are specifically endorsed or approved by the Company. Illegal and/or unauthorized use of the Website and its Services, including collecting usernames and/or email addresses of Members by electronic or other means for the purpose of sending unsolicited email or unauthorized framing of or linking to the Website is prohibited. Commercial advertisements, affiliate links, and other forms of solicitation may be removed from Member profiles without notice and may result in termination of Membership privileges. Appropriate legal action will be taken for any illegal or unauthorized use of the Website and its Services.

Fees

SocialJunction.com does not currently charge any fees for Membership; however, you acknowledge that the Company reserves the right to charge for future Services and to change those fees from time to time at its discretion. If a Member violates this Agreement and their Membership is terminated, they are not entitled to a refund of any unused portions of these fees.

Proprietary Rights in Content

All content on the Website, including but not limited to designs, text, graphics, pictures, information, software, and other files, and their selection and arrangement (the "Site Content"), are the proprietary property of the Company, its Users or its licensors with all rights reserved. No Site Content may be modified, copied, distributed, framed, reproduced, republished, downloaded, displayed, posted, transmitted, or sold in any form or by any means, in whole or in part, without the Company's prior written permission, except that the foregoing does not apply to your own User Content (as defined below) that you legally post on the Site. Provided that you are eligible for use of the Website, you are granted a limited license to access and use the Website and to download or print a copy of any portion of the Site Content solely for your personal, non-commercial use, provided that you keep all copyright or other proprietary notices intact. Except for your own User Content, you may not republish Site Content on any Internet, Intranet or Extranet site or incorporate the information in any other database or compilation, and any other use of the Site Content is strictly prohibited. Such license is subject to these Site Terms and does not include use of any data mining, robots or similar data gathering or extraction methods. Any use of the Website or the Site Content other than as specifically authorized herein, without the prior written permission of the Company, is strictly prohibited and will terminate the license granted herein. Such unauthorized use may also violate applicable laws including without limitation copyright and trademark laws and applicable communications regulations and statutes. Unless explicitly stated herein, nothing in these Site Terms shall be construed as conferring any license to intellectual property rights, whether by implication or otherwise. This license is revocable at any time without notice and with or without cause.

Content Posted

You are solely responsible for the photos, profiles, messages, notes, text, information and other content that you upload, publish, or display (hereinafter, "post") on the Website or its Services, or transmit to other Members (collectively, “User Content”). The Company does not endorse and has no control over User Content. User Content is not necessarily reviewed by the Company prior to posting and does not necessarily reflect the opinions or policies of the Company. If you post anything that you think might offend others, please use privacy settings to limit to friends only.
By posting User Content to any part of the Website, you automatically grant, and you represent and warrant that you have the right to grant, to the Company an irrevocable, perpetual, non-exclusive, transferable, fully paid, worldwide license to use, copy, perform, display, reformat, reproduce, translate, excerpt (in whole or in part) and distribute such User Content for any purpose on or in connection with the Website or the promotion thereof, to prepare derivative works of, or incorporate into other works, such User Content, and to grant and authorize sublicenses of the foregoing. You may remove your User Content from the Webite at any time. If you choose to remove your User Content, the license granted above will automatically expire.
You understand and agree that the Company may review and delete any User Content, in whole or in part, that in the sole judgment of the Company violate this Agreement or which might be offensive, illegal, or that might violate the rights, harm, or threaten the safety of Members. The Company however, assumes no responsibility for monitoring the Service for inappropriate User Content or conduct, nor obligation to modify or remove any inappropriate User Content.

Prohibited Content

The following is a partial list of the kind of User Content that is illegal or prohibited on the Website. The Company reserves the right to investigate and take appropriate legal action in its sole discretion against anyone who violates this provision, including without limitation, removing the offending communication from the Service and terminating the membership of such violators. It includes, but is not limited to, User Content that:

Impersonate any person or entity, falsely state or otherwise misrepresent yourself, or post a profile picture that does not include an image of you.
Is patently offensive to the online community, such as User Content that promotes racism, bigotry, hatred or physical harm of any kind against any group or individual.
Harasses or advocates harassment of another person.
Involves the transmission of "junk mail", "chain letters," or unsolicited mass mailing or "spamming".
Promotes information that you know is false, misleading or promotes illegal activities or conduct that is abusive, threatening, obscene, defamatory or libelous.
Promotes an illegal or unauthorized copy of another person's copyrighted work, such as providing pirated computer programs or links to them, providing information to circumvent manufacture-installed copy-protect devices, or providing pirated images, audio or video, or links to pirated images, audio or video files.
Contains restricted or password only access pages, or hidden pages or images (those not linked to or from another accessible page).
Provides material that exploits people under the age of 18 in a sexual or violent manner, or solicits personal information from anyone under the age of 18.
Provides instructional information about illegal activities such as making or buying illegal weapons, violating someone's privacy, or providing or creating computer viruses.
Solicits passwords or personal identifying information for commercial or unlawful purposes from other users.
Engages in commercial activities and/or sales without our prior written consent such as contests, sweepstakes, barter, advertising, and pyramid schemes.
Provides private information, including, without limitation, telephone numbers, street addresses, last names, email addresses, Social Security numbers and credit card numbers.
Involves commercial activities and/or sales without the Companies prior written consent such as contests, sweepstakes, barter, advertising, or pyramid schemes.
Includes a photograph of another person that you have posted without their consent.

Prohibited Activities

The following is a partial list of the types of actions that you may not engage in with respect to the Service. The Company reserves the right to investigate and terminate your Membership if you have misused the Service, or behaved in a way which could be regarded as inappropriate or whose conduct is unlawful or illegal:

Attempting to impersonate another Member or person.
Criminal or torturous activity, including child pornography, fraud, trafficking in obscene material, drug dealing, gambling, harassment, stalking, spamming, sending of viruses or other harmful files, copyright infringement, patent infringement, or theft of trade secrets.
Advertising to, or solicitation of, any Member to buy or sell any products or services through the Services. You may not transmit any chain letters or junk email to other Members. It is also a violation of these rules to use any information obtained from the Services in order to contact, advertise to, solicit, or sell to any Member without their prior explicit consent. In order to protect our Members from such advertising or solicitation, the Company reserves the right to restrict the number of emails which a Member may send to other Members in any 24-hour period to a number which the Company deems appropriate in its sole discretion. If you breach this Agreement and send unsolicited bulk email, instant messages or other unsolicited communications of any kind through the Services, you acknowledge that you will have caused substantial harm to the Company, but that the amount of such harm would be extremely difficult to ascertain. As a reasonable estimation of such harm, you agree to pay the Company $50 for each such unsolicited email or other unsolicited communication you send through the Services.
Any automated use of the system, such as using scripts to add friends or send comments or messages.
Interfering with, disrupting, or creating an undue burden on the Services or the networks or services connected to the Services.Any automated use of the system, such as using scripts to add friends or send comments or messages.
Using the account, username, or password of another Member at any time or disclosing your password to any third party or permitting any third party to access your account.
Using any information obtained from the Services in order to harass, abuse, or harm another person
Displaying an advertisement on your profile, or accepting payment or anything of value from a third person in exchange for your performing any commercial activity on or through the Services on behalf of that person, such as placing commercial content on your profile, posting blogs or bulletins with a commercial purpose, or sending private messages with a commercial purpose.

Copyright Policy

You may not post, distribute, or reproduce in any way any copyrighted material, trademarks, or other proprietary information without obtaining the prior written consent of the owner of such proprietary rights. Without limiting the foregoing, if you believe that your work has been copied and posted on the Service in a way that constitutes copyright infringement, please provide our Copyright Agent with the following information:

An electronic or physical signature of the person authorized to act on behalf of the owner of the copyright interest.
A description of the copyrighted work that you claim has been infringed.
A description of where the material that you claim is infringing is located on the Website.
Your address, telephone number, and email address.
A written statement by you that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law; a statement by you, made under penalty of perjury, that the above information in your notice is accurate and that you are the copyright owner or authorized to act on the copyright owner's behalf.

Member Interaction

You are solely responsible for your interactions with other Members. SocialJunction reserves the right, but has no obligation, to monitor interaction between you and other Members. You understand that SocialJunction does not screen its Members in any way nor attempt to verrify any statements made by its Members.

Privacy

Use of the Website and its Services are goverened by our Privacy Policy, which is incorporated into this Agreement by this statement.

Disclaimers

The Company is not responsible for any incorrect or inaccurate Content posted on the Website or its Services, whether caused by Users, Members, or by any of the equipment or programming associated with or utilized in the Services. Profiles created and posted by Members on the Website may contain links to other websites. The Company is not responsible for the Content, accuracy or opinions expressed on such websites, and such websites are in no way investigated, monitored or checked for accuracy or completeness by SocialJunction. Inclusion of any linked website on the Website or its Services does not imply approval or endorsement of the linked website by SocialJunction. When you access these third-party sites, you do so at your own risk. The Company takes no responsibility for third party advertisements that are posted on the Website or its Services, nor does it take any responsibility for the goods or services provided by its advertisers. The Company is not responsible for the conduct, whether online or offline, of any User of the Website or its Services. The Company assumes no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to, or alteration of, any User or Member communication. SocialJunction is not responsible for any problems or technical malfunction of any telephone network or lines, computer online systems, servers or providers, computer equipment, software, failure of any email or players due to technical problems or traffic congestion on the Internet or on any of the Services or combination thereof, including any injury or damage to Users or to any person's computer related to or resulting from participation or downloading materials in connection with the Services. Under no circumstances shall the Company be responsible for any loss or damage, including personal injury or death, resulting from use of the Services, attendance at a SocialJunction.com event, from any Content posted on or through the Services, or from the conduct of any Users of the Services, whether online or offline. The Website and its Services are provided "AS-IS" and the Company disclaims any and all representation and warranties, whether expressed or implied of fitness for a particular purpose or non-infringement. The Company cannot guarantee and does not promise any specific results from use of the Website and its Services. Company does not represent or warrant that Content or materials on the site are accurate, complete, reliable, current or error-free or that the site or its servers are free of viruses or other harmful components. Therefore, you should exercise caution in the use and downloading of any such content or materials and use industry-recognized software to detect and disinfect viruses.

Limitation on Liability

EXCEPT IN JURISDICTIONS WHERE SUCH PROVISIONS ARE RESTRICTED, IN NO EVENT WILL COMPANY OR ITS DIRECTORS, EMPLOYEES OR AGENTS BE LIABLE TO YOU OR ANY THIRD PERSON FOR ANY INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL OR PUNITIVE DAMAGES, INCLUDING ALSO LOST PROFITS OR LOST DATA ARISING FROM YOUR USE OF THE SITE OR THE SERVICE OR ANY OF THE SITE CONTENT OR OTHER MATERIALS ON OR ACCESSED THROUGH THE SITE, EVEN IF THE COMPANY IS AWARE OR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED HEREIN, THE COMPANY'S LIABILITY TO YOU FOR ANY CAUSE WHATSOEVER, AND REGARDLESS OF THE FORM OF THE ACTION, WILL AT ALL TIMES BE LIMITED TO THE AMOUNT PAID, IF ANY, BY YOU TO COMPANY FOR THE SERVICE DURING THE TERM OF MEMBERSHIP. YOU ACKNOWLEDGE THAT IF NO FEES ARE PAID TO COMPANY FOR THE SERVICE, YOU SHALL BE LIMITED TO INJUNCTIVE RELIEF ONLY, UNLESS OTHERWISE PERMITTED BY LAW, AND SHALL NOT BE ENTITLED TO DAMAGES OF ANY KIND FROM COMPANY, REGARDLESS OF THE CAUSE OF ACTION.

Indemnity

You agree to indemnify and hold the Company, its subsidiaries, and affiliates, and their respective officers, agents, partners and employees, harmless from any loss, liability, claim, or demand, including reasonable attorneys' fees, made by any third party due to or arising out of your use of the Services in violation of this Agreement and/or arising from a breach of this Agreement and/or any breach of your representations and warranties set forth above and/or if any Content that you post on the Website or through the Services causes the Company to be liable to another.

U.S. Export Controls

Software available in connection with the Services (the "Software") is further subject to United States export controls. No Software may be downloaded from the Services or otherwise exported or re-exported in violation of U.S. export laws. Downloading or using the Software is at your sole risk.

Disputes

If there is any dispute about or involving the Website and/or its Services, you agree that the dispute shall be governed by the laws of the State of Texas, without regard to its conflict of law provisions and you agree to exclusive jurisdiction and venue in the state and federal courts of the State of Texas, in Dallas or Tarrant County, for the resolution of this dispute.

Submissions

You acknowledge and agree that any questions, comments, suggestions, ideas, feedback or other information about the Website or its Services ("Submissions"), provided by you to Company are non-confidential and shall become the sole property of Company. Company shall own exclusive rights, including all intellectual property rights, and shall be entitled to the unrestricted use and dissemination of these Submissions for any purpose, commercial or otherwise, without acknowledgment or compensation to you.

Other

This Agreement constitutes the entire agreement between you and the Company regarding the use of the Website and its Services, superseding any prior agreements between you and Company relating to your use of the Website and its Services. The failure of SocialJunction to exercise or enforce any right or provision of this Agreement shall not operate as a waiver of such right or provision. The section titles in this Agreement are for convenience only and have no legal or contractual effect. SocialJunction.com is a trademark of Social Sites Unlimited, LLC. This Agreement operates to the fullest extent permissible by law. If any provision of this Agreement is unlawful, void or unenforceable, then that portion is deemed severable from this Agreement and does not affect the validity and enforceability of any remaining provisions.
